Terms of Service
Last updated: 13 October 2026
1. About these terms
1.1 These Terms of Service (the "Terms") govern use of CertSync, the certification software provided through the CertSync website, web application and mobile apps (the "Service"). The Service is provided by CERTSYNC LIMITED, a company registered in England and Wales (Company No. 17216573), registered office Priory Place, Priory Road, Colchester, Essex, England, CO5 0QE, trading as CertSync ("CertSync", "we" or "us"). The person or business that registers for or uses the Service is the "Customer" ("you").
1.2 The Service is offered only to businesses and professionals. By registering, the Customer confirms it is acting for the purposes of its trade, business, craft or profession and not as a consumer.
1.3 By creating an account, accepting these Terms at sign-up, or using the Service, the Customer agrees to these Terms.
1.4 The "Subscription Agreement" is made up of: (a) these Terms; (b) the Acceptable Use Policy; (c) the Data Processing Agreement; (d) the Privacy Notice; (e) the Sub-processor List; (f) the Cookie Policy; (g) the prices and plan terms published at /pricing; and (h) the plan the Customer chooses at sign-up. Clause 22 sets the order of precedence between them.
2. Definitions
2.1 In these Terms:
- "Account Data" means the Personal Data CertSync controls about the Customer and its Authorised Users, as described in the Privacy Notice;
- "Active Subscription" means a paid subscription that has not been cancelled or expired;
- "Authorised User" means an individual the Customer allows to use its account;
- "Certificate" means a certificate, report or related record produced through the Service;
- "Certificate Content" means the data entered into the Service to prepare a Certificate, including the details of the people and properties concerned, test readings, observations, photographs and signatures;
- "Customer Content" means Certificate Content and all other content the Customer or an Authorised User uploads to or creates in the Service;
- "Customer Portal" means the billing settings in the Service, where the Customer manages payment methods, invoices and its subscription;
- "Data Protection Laws" means the UK GDPR, the Data Protection Act 2018 and the Privacy and Electronic Communications (EC Directive) Regulations 2003;
- "DPA" means the CertSync Data Processing Agreement;
- "Fees" means the subscription fees and other charges published at /pricing;
- "Personal Data" has the meaning given in Article 4(1) of the UK GDPR;
- "Read-Only Grace Period" means the 90-day period described in clause 8.3;
- "Signed Certificate" means a Certificate that has been signed and issued through the Service;
- "Stripe" means the Stripe group company that provides payment services to CertSync;
- "Sub-processor" has the meaning given in the DPA;
- "Subscription" means the Customer's Active Subscription, and "Subscription Term" means the period of it, including every renewal, until it is cancelled or expires.
3. Service description
3.1 The Service supports the preparation, signing, storage and delivery of thirteen types of certificate:
- Electrical Installation Certificate (EIC);
- Electrical Installation Condition Report (EICR);
- Minor Electrical Installation Works Certificate (MEIWC);
- Visual Inspection Report (VIR);
- Danger Notice;
- Electric Vehicle Charge Point installation record (EVCP);
- Emergency Lighting completion and periodic certification;
- Fire Alarm completion and periodic certification (domestic and non-domestic);
- Portable Appliance Testing record (PAT);
- Solar PV Commissioning Certificate;
- Battery Storage (EESS) Commissioning Certificate;
- Lightning Protection Test & Inspection Report; and
- Temporary Electrical System Certificate (BS 7909).
3.2 The Service also includes BS 7671 validation checks built into the certificate workflow, photo capture, cloud storage of Certificates for the Subscription Term and the Read-Only Grace Period, delivery of Certificates by email, verification of Certificates by QR code and postcode, exports, and team features.
3.3 The Service is a tool that helps a competent person prepare certificates structured to the then-current edition of the standards listed in the Service. CertSync does not warrant that any particular Certificate complies with any standard.
3.4 CertSync is not endorsed, certified or approved by the IET, the British Standards Institution, NICEIC, NAPIT, the ECA, SELECT, or any other scheme operator or trade body. The Customer is responsible for its own scheme membership and compliance.
3.5 The Service produces automated outputs, such as validation results, suggested observation codes and PDF Certificates. They support the Customer's professional judgement and do not replace it. The Customer remains responsible for the design, installation, inspection, testing and certification of the work, and must review every output before signing a Certificate.
3.6 AI-assisted features. Where the Service offers AI-assisted features (for example, reading a photograph of a distribution board, meter, cut-out, equipment rating plate, instrument display or defect; suggesting observation wording or a classification code; drafting a certificate summary; or answering a question about a published standard), each such feature produces suggestions only. A suggestion is written to a Certificate only when an Authorised User accepts it, and the Authorised User who signs the Certificate remains responsible for every value and every word on it, whether or not it began as a suggestion. An AI-assisted feature does not verify, check, approve or certify anything, and clause 3.5 applies to its output as it applies to every other machine-generated output. CertSync may introduce, change, suspend or withdraw any AI-assisted feature, and the description of a feature in these Terms is not a promise that it is or will be available.
3.7 Customer content and AI models. Unless the Customer has chosen to allow it through an option that CertSync offers for that purpose, CertSync does not use the photographs, notes, certificate content or other material submitted to an AI-assisted feature to train, fine-tune or otherwise improve any artificial-intelligence model, and has not given its AI processor permission to do so. If CertSync offers such an option, it will be off unless the Customer's account administrator turns it on, it may be turned off at any time, what is kept and for how long will be stated in the Privacy Notice before anything is kept, and any credits or other benefit offered in return will be stated when the option is offered.
3.8 Questions about published standards. Where the Service offers answers to questions about BS 7671 or another published standard, an answer points to the relevant part of the standard by its regulation, section or table number and is not the standard or a substitute for it. CertSync does not reproduce the text, tables or figures of any published standard in an answer, and the Customer must check the standard itself, in a copy it is entitled to use, before relying on an answer.
4. Accounts
4.1 Eligibility. A person may register only if they are at least 18, can enter into a binding contract, and are not subject to a sanction that would make providing the Service unlawful.
4.2 Accurate information. The Customer must give accurate information when registering and keep it up to date.
4.3 One account per business. Each account is for one Customer. The Customer may invite Authorised Users to its account using the team features. Registering a separate account for a separate business is not a breach of these Terms.
4.4 Credentials and Authorised Users. The Customer is responsible for keeping its credentials secure, for all activity under its account, and for each Authorised User's compliance with the Subscription Agreement. A breach by an Authorised User is treated as a breach by the Customer.
4.5 Suspension. CertSync may suspend an account, giving notice beforehand where reasonably practicable and otherwise promptly afterwards, where: (a) Fees remain unpaid after the period in clause 7.4; (b) the Customer is in material breach of these Terms or the Acceptable Use Policy; or (c) suspension is needed to comply with a legal obligation, to deal with a security incident, or to prevent harm to other users. CertSync will restore access once the reason for the suspension has ended. A suspension does not affect the Customer's right to download its Certificates and data during the Read-Only Grace Period.
5. Acceptable use
5.1 The Customer must use the Service lawfully, for the purposes it is designed for, and in line with the Acceptable Use Policy, which forms part of the Subscription Agreement.
5.2 The Customer must not, and must make sure its Authorised Users do not: (a) share credentials with anyone who is not an Authorised User; (b) sign or issue a Certificate without being a competent person for that work under the applicable standard, scheme or law; or (c) sign or issue a Certificate for work they did not personally carry out or directly supervise.
5.3 The Customer must tell CertSync promptly about any security vulnerability, or any breach of this clause 5, it becomes aware of, by email to security@certsync.co.uk.
6. Subscription, pricing and Fees
6.1 Pricing. The Fees, the features of each plan and the price of additional Authorised Users are published at /pricing, which is the only authoritative record of them. Fees are charged in pounds sterling. A price or feature mentioned in marketing material or correspondence is not part of these Terms.
6.2 VAT. CertSync is not currently registered for VAT, and the Fees shown at /pricing are the total payable. If CertSync becomes registered for VAT, it will give notice under clause 17 before any change to the amount payable takes effect.
7. Payment terms
7.1 Payment processor. Payments are taken by Stripe through Stripe-hosted checkout and billing pages. CertSync does not store card numbers.
7.2 Recurring payment. By giving card details at checkout, the Customer authorises CertSync, acting through Stripe, to charge the Fees for its plan on each billing cycle until the subscription is cancelled under clause 8.
7.3 Auto-renewal. A subscription renews automatically at the end of each billing cycle for a further cycle of the same length unless it is cancelled under clause 8 before the renewal date.
7.4 Failed payment. If a payment fails, Stripe retries it and CertSync emails the billing contact. The Customer must update its payment method in the Customer Portal. If payment is not made within twenty-one (21) calendar days of CertSync recording the failure, CertSync may cancel the subscription and the account enters the Read-Only Grace Period.
7.5 First-month credit. A card is required at sign-up. A first-month credit applied at sign-up applies to the first invoice only, has no cash value, and is not refundable or exchangeable. When the credit is used up, the card is charged the Fees then applicable and the subscription renews each month until cancelled under clause 8. Authorised Users added later are charged at the standard rate.
7.6 Receipts and invoices. Stripe issues receipts and invoices for each payment and keeps them in CertSync's Stripe account. CertSync keeps them for tax purposes, as described in the Privacy Notice.
7.7 AI credits are a one-off purchase. Where the Service offers AI-assisted features, use of those features is metered in credits. A credit pack is purchased as a single one-off payment and is not a subscription: it does not renew, it is not charged again, and clauses 7.2, 7.3 and 7.4 do not apply to it. A credit pack may only be purchased by a Customer with an Active Subscription, and is charged in addition to the Fees.
7.8 Credits do not expire. A credit balance has no expiry date and is not reduced by the passage of time, by a lapse in the Subscription, or by any period of non-use, subject to clause 7.11. Credits are spent only when the Customer invokes an AI-assisted feature.
7.9 No refund and no pro-rata. A credit pack is supplied in full at the moment of purchase and is not refundable, in whole or in part, and no pro-rata credit or cash equivalent is given for an unused balance on cancellation, downgrade or termination. This clause does not affect, and is subject to, any statutory right a Customer who is a consumer may have; nor does it affect CertSync's ability to reverse a charge at its discretion where a credit was spent because of a fault in the Service.
7.10 Credits are not transferable. A credit balance belongs to the team account that purchased it. It cannot be transferred, assigned, sold or merged into another account, and it has no value outside the Service.
7.11 Credits are lost on deletion. Where an account is deleted, any unspent credit balance is deleted with it at the end of the ninety (90) day grace period described in clause 8, and is not refunded. CertSync keeps a record of each credit purchase for HMRC record-keeping purposes, as described in the Privacy Notice; that record contains no user, account or email identifier.
7.12 Monthly AI allowance. Where the Service offers AI-assisted features, an Active Subscription includes a monthly allowance of credits for those features (the "Allowance"), in the amount that applies to the Customer's plan at the start of the billing period concerned, as shown in the Service where it offers those features, including in the Customer's billing settings. The amount of the Allowance depends on the plan only and not on the number of Authorised Users. The Allowance is part of the Subscription and is not a credit pack: clauses 7.7, 7.8 and 7.9 do not apply to it, and clauses 7.12 to 7.17 govern it. CertSync may change the amount of the Allowance in accordance with clause 17.
7.13 Renewal, no roll-over and no cash value. The Allowance is granted for each billing period once the invoice for that period has been paid, including a first billing period paid in full by an introductory credit. Allowance that is unused at the end of the billing period for which it was granted does not carry over to a later period, and CertSync may remove it at or after the end of that period. The Allowance has no cash value, cannot be exchanged for money or for credit packs, and no payment, credit or cash equivalent is given for unused Allowance on cancellation, downgrade or termination.
7.14 The Allowance is shared by the team. The Allowance belongs to the team account and not to any individual Authorised User. Every Authorised User who is permitted to use the AI-assisted features draws on the same Allowance, and adding Authorised Users does not increase it. Further credits may be bought as credit packs under clauses 7.7 to 7.11 by the Customer's account administrator, or by another Authorised User whom the administrator permits to buy them. Clause 7.10 applies to the Allowance as it applies to purchased credits.
7.15 The Allowance is used first. When an AI-assisted feature is used, credits are taken from the Allowance first, and from credits bought as credit packs only once the Allowance for the current billing period has been used up.
7.16 Credits returned for a poor board scan. Where an Authorised User reviews an AI board scan and edits or rejects at least 70 per cent of the values the scan suggested, the credits charged for that scan are returned to the team account automatically, provided the review is completed within 7 days of the scan. No more than 5 scans for any one team account are returned in this way in any calendar month. Returned credits go back to the Allowance where they were taken from it and that Allowance is still current; otherwise they are added as purchased credits, to which clauses 7.8 to 7.11 then apply. A return of credits is not an admission that a scan was faulty and is not a payment of money; it does not limit clause 7.9, and CertSync may decline to return credits for a scan reviewed while a payment on the account is disputed.
7.17 When the Subscription ends. No Allowance is granted for a billing period whose invoice has not been paid, or for any period after the Subscription is cancelled or ends. Credits bought as credit packs remain subject to clauses 7.8 to 7.11.
7.18 Spending limits within a team. Where the Service lets the Customer's account administrator set a limit on the credits an Authorised User may use in a billing period, AI-assisted features that cost credits are unavailable to that Authorised User once the limit is reached, until the next billing period or until the administrator changes the limit. A limit does not change the amount of the Allowance or of any credit balance, and credits it leaves unused are subject to clauses 7.8 and 7.13 in the ordinary way.
8. Cancellation and Read-Only Grace Period
8.1 No cancellation fee. The Customer may cancel at any time, at no charge, from the Customer Portal or by emailing support@certsync.co.uk from the email address on the account.
8.2 When cancellation takes effect. Cancellation takes effect at the end of the paid billing cycle, and the Customer keeps full access until then. The unused part of that cycle is not refunded, except where clause 9 requires otherwise.
8.3 Read-Only Grace Period. On the day after access ends, the account enters a 90-day Read-Only Grace Period, at no charge. During it the Customer can sign in, view, download and export its Certificates and can reactivate at any time, but cannot create or edit Certificates, send them from within the Service or turn on their verification. Clause 3 of the Data Retention Policy sets out each step, including the deletion warnings.
8.4 Day 91 deletion. Unless the Customer reactivates, on the day after the grace period ends (day 91) CertSync deletes the account and its data, and instructs its Sub-processors to do the same, except for the records that clause 10.3 of the Privacy Notice says are kept.
8.5 Exports. The Customer can download, free of charge, a data export, its Certificate PDFs with their photos and attachments, and a list of its Certificates. It should do so before day 91, because these downloads become its only copy.
8.6 The Customer's own retention duties. CertSync's retention rules do not change any longer period for which the law, HMRC or the Customer's scheme requires the Customer to keep records.
9. Statutory rights
9.1 Nothing in these Terms excludes or limits any statutory right the Customer has as a consumer under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If, despite the confirmation in clause 1.2, the Customer is a consumer, it may exercise any statutory right to cancel by emailing support@certsync.co.uk, and CertSync will deal with the cancellation as those laws require.
10. Signed Certificates
10.1 A Signed Certificate cannot be edited. This protects its value as a record of the signatory's sign-off on the date of signature.
10.2 To correct a Signed Certificate, the Customer issues a new Certificate that refers to the earlier one.
10.3 No one, including CertSync, may delete a Signed Certificate during the Subscription Term or the Read-Only Grace Period, except as these Terms or the Privacy Notice allow.
10.4 A signature applied while a device is offline takes effect when CertSync's servers record it. Until then the Certificate is not signed or issued.
10.5 The legal effect of a Signed Certificate depends on the signatory's competence and the work itself, not on the Service. The Customer must check with the relevant scheme, building control body or recipient whether a wet-ink signature is needed.
11. Customer data and roles under the UK GDPR
11.1 CertSync as processor. For Customer Content, including Cross-Certificate Memory (the details the Service remembers from earlier Certificates to fill in later ones), CertSync is a processor acting on the Customer's instructions and the Customer is the controller. The DPA governs this.
11.2 CertSync as controller. CertSync is a controller of Account Data, security logs, payment records, and cookie and analytics data, as described in the Privacy Notice.
11.3 The Customer's obligations. The Customer warrants that: (a) it has a lawful basis under Article 6 (and, where relevant, Article 9) of the UK GDPR for the processing it instructs; (b) it has given any notices and obtained any consents required for the people whose data appears in Customer Content; and (c) its instructions comply with Data Protection Laws.
11.4 If this clause 11 and the DPA conflict on a data protection matter, the DPA prevails.
12. Intellectual property
12.1 CertSync's rights. CertSync or its licensors own the Service, including its software, design, certificate templates, documentation and the CertSync name and logo. CertSync grants the Customer a limited, revocable, non-exclusive, non-transferable licence to use the Service for its internal business purposes during the Subscription Term and the Read-Only Grace Period.
12.2 The Customer's content. The Customer owns its Customer Content and grants CertSync a non-exclusive, royalty-free licence to host, copy, transmit, display and otherwise process it as needed to provide the Service. The licence ends for any item that is deleted.
12.3 Standards. CertSync's templates are its own work. CertSync claims no rights in BS 7671 or any other standard, which remain the copyright of their publishers.
13. Warranties and disclaimers
13.1 CertSync warrants that the Service will materially conform to its published user documentation. If it does not, CertSync will use reasonable efforts to fix the problem and, if it cannot do so within a reasonable time, the Customer may terminate the Subscription Agreement.
13.2 Except as stated in clause 13.1 or required by law:
- 13.2.1 the Service is provided "as is" and "as available";
- 13.2.2 CertSync does not warrant that the Service will be uninterrupted or error-free;
- 13.2.3 CertSync does not warrant that every calculation or output will be correct, and the Customer must check every output before signing a Certificate; and
- 13.2.4 CertSync does not warrant that any installation will pass a scheme, building control or other inspection.
14. Limitation of liability
14.1 The Customer's competent person carries out the work, enters the test data and signs the Certificate. CertSync supplies software that stores and formats that data and runs automated checks on it. This clause 14 applies to the maximum extent permitted by law and, for a consumer Customer, is read subject to clause 14.7.
14.2 No party excludes or limits its liability for: (a) death or personal injury caused by that party's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by law.
14.3 Subject to clause 14.2, CertSync is not liable to the Customer for any of the following types of loss, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise:
- 14.3.1 loss of profits;
- 14.3.2 loss of business or business opportunity;
- 14.3.3 loss of contracts;
- 14.3.4 loss of anticipated savings;
- 14.3.5 loss of reputation or goodwill;
- 14.3.6 loss, corruption or unavailability of data, except to the extent it is caused by CertSync's failure to apply the security measures described in the Privacy Notice; or
- 14.3.7 any indirect, special or consequential loss.
14.4 For the avoidance of doubt, clause 14.3 does not exclude: (a) the Customer's wasted expenditure; or (b) direct loss caused by an error in the Service's own automated calculations or validation checks. Both remain subject to the caps in clause 14.5.
14.5 Caps on liability. Subject to clause 14.2:
- 14.5.1 Per-claim cap. CertSync's liability for each claim arising out of or in connection with the Subscription Agreement, however arising, is limited to the greater of: (a) 125% of the Fees paid by the Customer in the twelve (12) months before the cause of action arose; and (b) £50,000;
- 14.5.2 Aggregate cap. CertSync's aggregate liability for all claims in any twelve (12)-month period is limited to the greater of: (a) 125% of the Fees paid by the Customer in that twelve (12)-month period; and (b) £50,000, however many claims are made;
- 14.5.3 Severability. The caps are severable from clause 14.3 and from each other. If any exclusion in clause 14.3 is unenforceable, the caps still apply; and
- 14.5.4 The Customer's insurance. CertSync recommends that the Customer maintains insurance appropriate to its business and the work it certifies.
14.6 Customer indemnity. Subject to clause 14.2, the Customer (where the Customer is not a consumer) shall indemnify CertSync against any direct loss, damage, cost or expense (including reasonable legal costs) arising from: (a) a breach of clause 5 or of the Acceptable Use Policy by the Customer or an Authorised User; (b) a third-party claim arising from use of the Service in breach of the Subscription Agreement or the law; or (c) a breach of clause 11.3. This clause does not apply to a consumer Customer.
14.7 Consumer Customers. For a consumer Customer:
- 14.7.1 nothing in this clause 14 limits liability for foreseeable losses caused by CertSync's breach of these Terms;
- 14.7.2 nothing in this clause 14 limits liability that cannot be limited by law, including under sections 31, 49, 50, 57 or 65 of the Consumer Rights Act 2015; and
- 14.7.3 a term that is unfair under Part 2 of that Act does not bind the consumer.
15. Indemnification by CertSync
15.1 If a third party claims that the Customer's use of the Service in line with these Terms infringes its intellectual property rights in the United Kingdom, CertSync will defend the claim and pay any final award of damages and costs, provided the Customer notifies CertSync promptly in writing and cooperates reasonably.
15.2 Clause 15.1 does not apply where the claim arises from: (a) use of the Service other than in line with these Terms; (b) a change to the Service made by anyone other than CertSync; (c) combining the Service with anything CertSync did not supply; or (d) Customer Content.
16. Termination
16.1 By the Customer. The Customer may end the Subscription Agreement by cancelling under clause 8.
16.2 By CertSync for convenience. CertSync may end the Subscription Agreement on at least thirty (30) calendar days' written notice.
16.3 For cause. Either party may end the Subscription Agreement by written notice:
- 16.3.1 if the other party is in material breach and, where the breach can be remedied, does not remedy it within thirty (30) calendar days of written notice;
- 16.3.2 if the other party cannot pay its debts as they fall due;
- 16.3.3 if an order is made to wind up the other party;
- 16.3.4 (CertSync only) if the Customer does not pay any Fee within fourteen (14) calendar days of a suspension under clause 4.5; or
- 16.3.5 (CertSync only) (a) if the Customer's use is in material breach of clause 5 or is unlawful, immediately and without a cure period; or (b) if the Customer's use is in repeated breach of clause 5 that has not been cured following notice under clause 7.1 of the Acceptable Use Policy.
16.4 Effect of termination.
- (a) Where the Customer cancels under clause 8, access continues to the end of the paid billing cycle.
- (b) Where CertSync terminates under clause 16.2, or the Customer terminates under clause 13.1, 16.3 (for CertSync's breach or insolvency), 17.3 or 18.2, access ends on the termination date and CertSync will refund Fees paid for any period after that date.
- (c) Where CertSync terminates under clause 16.3.5, access ends on the date stated in its notice and no refund is due.
- (d) In every case the Read-Only Grace Period begins on the day after access ends, except where the law or a law enforcement request requires access to be withheld, and the Customer remains liable for Fees accrued up to the termination date.
17. Service changes
17.1 CertSync may change the Service to improve it, to comply with the law, to deal with a security or operational issue, or to reflect changes in technology or standards.
17.2 Material Changes. Where a change to the Service, the Fees or these Terms is, in CertSync's reasonable view, materially adverse to the Customer (a "Material Change"), CertSync will email the Customer at least thirty (30) calendar days before it takes effect. A change to the Fees is always a Material Change.
17.3 Within thirty (30) calendar days of that notice, the Customer may end the Subscription Agreement by written notice, and CertSync will refund Fees paid for any period after the termination date.
17.4 Other changes take effect when CertSync makes them.
18. Force majeure
18.1 Neither party is liable for a failure or delay (other than in paying Fees already due) caused by an event beyond its reasonable control, such as natural disaster, epidemic, war, terrorism, civil unrest, government action, or failure of utilities or of third-party telecoms, internet or cloud providers.
18.2 If such an event lasts more than sixty (60) calendar days, either party may end the Subscription Agreement by written notice.
19. Notices
19.1 Legal notices to CertSync must be sent to legal@certsync.co.uk and by post to the registered office in clause 1.1. Privacy matters go to privacy@certsync.co.uk, security matters to security@certsync.co.uk, and everything else to support@certsync.co.uk.
19.2 CertSync sends notices to the billing contact email on the account, which the Customer must keep up to date.
20. Dispute resolution
20.1 The Customer should first raise any complaint or dispute with support@certsync.co.uk, and CertSync will try to resolve it promptly.
20.2 If it is not resolved within thirty (30) calendar days, the Customer may escalate it to legal@certsync.co.uk with the subject "FORMAL DISPUTE". If it is still not resolved, either party may go to the courts under clause 21.
21. Governing law and jurisdiction
21.1 The Subscription Agreement, and any dispute arising from it (including non-contractual disputes), is governed by the law of England and Wales.
21.2 Subject to clause 21.3, the courts of England and Wales have exclusive jurisdiction.
21.3 A consumer Customer keeps the mandatory protections of the law where they live, and may bring proceedings in England and Wales or in the part of the United Kingdom where they are domiciled, under section 15B of the Civil Jurisdiction and Judgments Act 1982. CertSync may bring proceedings against a consumer Customer only in the courts of the part of the United Kingdom where the consumer is domiciled.
22. Order of precedence and general
22.1 If the documents in the Subscription Agreement conflict, they apply in this order: (a) the DPA, on data protection matters only; (b) these Terms and then the Acceptable Use Policy, on any other matter; (c) the Privacy Notice, on CertSync's own processing of Personal Data; (d) the Sub-processor List; (e) the Cookie Policy; and (f) the prices and plan terms at /pricing.
22.2 The Subscription Agreement is the entire agreement between the parties on its subject and replaces any earlier arrangement on it.
22.3 If any provision is held unenforceable, the rest remains in force.
22.4 A failure or delay in exercising a right is not a waiver of it.
22.5 The Customer may not assign or transfer the Subscription Agreement without CertSync's written consent, which will not be unreasonably withheld. CertSync may assign it to a successor to its business on notice.
22.6 No one who is not a party has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms, except that Apple and its subsidiaries may enforce Apple's standard end user licence agreement as third-party beneficiaries, as that agreement provides.
22.7 Nothing in the Subscription Agreement creates a partnership, agency or employment relationship.
23. Changes to these Terms
23.1 CertSync may update these Terms. The date at the top shows the current version.
23.2 A Material Change follows clause 17. Any other change takes effect on publication, and continued use of the Service after a change takes effect is acceptance of it.
24. The CertSync mobile apps
24.1 The CertSync apps for iOS and Android (the "Mobile Apps") are part of the Service, and these Terms apply to them.
24.2 Store terms. On iOS, Apple's standard Licensed Application End User License Agreement also applies to the app licence; on Android, the Google Play terms of service apply. Between CertSync and the Customer, these Terms prevail where they differ, except that nothing in these Terms limits any term that Apple's standard end user licence agreement requires. The licence to use a Mobile App ends when the licence in clause 12.1 ends.
24.3 Apple and Google. Apple and Google are not parties to the Subscription Agreement, subject to clause 22.6. They are not responsible for the Mobile Apps, their content, maintenance or support, or any claim about them.
24.4 No purchases in the apps. The Mobile Apps sell nothing and contain no in-app purchases. Subscriptions and billing are managed online at certsync.co.uk under clause 7.
24.5 Updates. The Mobile Apps may update through the App Store or Google Play, depending on the device settings. If CertSync turns on over-the-air updates, after notice in the Privacy Notice and the Sub-processor List, the Mobile Apps may also download updates to their web content from CertSync's update provider without a new store release.
24.6 Support. CertSync, not Apple or Google, supports the Mobile Apps. Contact support@certsync.co.uk, use the contact page at certsync.co.uk/contact, or write to the registered office in clause 1.1.
24.7 How the Mobile Apps handle Personal Data is explained in the Privacy Notice.
